These Terms of Use (“Terms”) govern your access to and use of the Moneta Brief website, mobile applications, newsletters, APIs, widgets, data feeds and any related online services we provide (together, the “Services”).

These Terms constitute a legally binding agreement between MonetaBrief (“Moneta Brief”, “we”, “us” or “our”) and you (“you”, “your” or “User”). By using the Services, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, you must not use the Services.

1. About Moneta Brief

Moneta Brief is a digital publisher providing economic, financial and business news, analysis, commentary, market data and related content.

2. Other policies

Our Privacy Policy and Cookie Policy form part of these Terms. Certain features, including premium content, APIs, widgets, data feeds, partner integrations and subscription services, may also be subject to additional terms.

3. Changes to these Terms or the Services

We may update these Terms or modify, suspend or discontinue any part of the Services at any time. Where required by law, we will provide notice of material changes. Your continued use of the Services after any update means you accept the revised Terms.

4. Eligibility

You must be at least 18 years old, or have the consent of a parent or legal guardian, to use the Services. You must also have the legal capacity to enter into a binding agreement under applicable law.

All content on the Services, including articles, text, data, charts, graphics, photographs, video, audio, logos, trademarks, software and design elements, is owned by Moneta Brief or our licensors and is protected by applicable intellectual property laws.

You may access and view content for your personal, non-commercial use. You may share links using features made available by us.

You must not, without our prior written permission:

• copy, reproduce, republish, upload, post, transmit or distribute our content;
• adapt, translate, modify or create derivative works from our content;
• use our content for commercial purposes;
• remove or alter copyright notices, watermarks or proprietary notices.

You agree that you will not:

• use the Services for any unlawful purpose;
• attempt to bypass paywalls, registration systems or access controls;
• interfere with the operation, security or integrity of the Services;
• reverse engineer, decompile or disassemble any part of the Services, except where permitted by law;
• infringe the intellectual property, privacy or other rights of any person;
• upload or transmit malware, spam or harmful code.

8. Automated access and AI use

You must not use bots, scrapers, crawlers, spiders or similar automated means to access, copy, archive, index or extract content from the Services without our prior written consent.

You must not use Moneta Brief content, metadata, feeds or data sets to train, fine-tune, evaluate or improve any artificial intelligence or machine-learning model unless we have granted you a specific written licence.

9. APIs, widgets and feeds

Where we provide APIs, widgets, feeds or similar technical services, separate terms may apply. We may impose rate limits, technical restrictions or access requirements and may suspend or revoke access if we reasonably believe there has been misuse.

If you submit comments, feedback, messages, reviews or other material to the Services, you confirm that:

• you own the relevant rights or have permission to submit the material;
• the material is lawful, accurate to the best of your knowledge, and not defamatory, obscene, offensive or infringing;
• the material does not violate any third-party rights.

By submitting user content, you grant Moneta Brief a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, adapt, translate, publish, distribute and communicate that content in connection with the Services and our business. We may moderate, edit, refuse, remove or retain user content at our discretion.

11. Submissions of materials

If you submit photographs, documents, data, leads or tips, you warrant that you have the right to do so and that the submission does not infringe third-party rights. Unless we expressly agree otherwise in writing, no payment will be due for such submissions.

12. Editorial independence and advertising

We maintain editorial independence. The Services may include advertisements, sponsored content, affiliate links or promotional placements. Such material will be labelled where appropriate. We are not responsible for third-party products, services, statements or actions.

13. Subscriptions, billing and refunds

Some content or features may require a paid subscription. Subscription fees, billing cycles and renewal terms will be stated at the point of purchase. Unless otherwise stated, subscriptions renew automatically until cancelled in accordance with the relevant subscription terms.

Fees are non-refundable except where required by law or where we expressly state otherwise. If you subscribe through a third-party platform, such as an app store or payment gateway, that platform’s billing and refund terms may also apply.

The Services are provided for general information purposes only. Nothing on the Services constitutes investment advice, financial advice, legal advice, tax advice or any other professional advice. You should obtain independent professional advice before making financial or investment decisions.

Market data, prices, valuations and other information may be delayed, incomplete, approximate or inaccurate. We do not guarantee the accuracy, completeness or timeliness of any content.

We process personal data in accordance with our Privacy Policy and the Personal Data Protection Act, No. 9 of 2022 of Sri Lanka, together with any applicable regulations, directives and guidance issued by the Data Protection Authority. 16. Third-party links

The Services may contain links to third-party websites or services. We do not control those websites or services and are not responsible for their content, policies, security or practices. Your dealings with third parties are solely between you and the relevant third party.

The Services are not intended for children under 18 without parental or guardian involvement. Minors should not submit personal, financial or sensitive information publicly through the Services.

18. Intellectual property complaints

If you believe that material on the Services infringes your copyright, please contact us with:

• your contact details;
• identification of the copyrighted work;
• the location of the allegedly infringing material;
• a statement made in good faith that the use is not authorised; and
• a declaration that the information you provide is accurate and that you are the copyright owner or authorised to act on the owner’s behalf.

We may remove or disable access to allegedly infringing material where appropriate.

19. Disclaimer of warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any warranty of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, Moneta Brief and its officers, directors, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, goodwill, business, data or opportunity.

21. Indemnity

You agree to indemnify and hold harmless Moneta Brief and its officers, directors, employees, agents and affiliates from and against claims, losses, liabilities, damages, costs and expenses arising out of or in connection with:

• your use of the Services;
• your user content or submissions;
• your breach of these Terms;
• your breach of applicable law; or
• your infringement of third-party rights.

22. Suspension and termination

We may suspend or terminate your access to the Services, with or without notice where permitted by law, if we reasonably believe that you have breached these Terms or if required for legal, security, operational or business reasons. On termination, your right to use the Services immediately ceases. Clauses that by their nature should survive termination will continue in force.

23. Availability

We do not guarantee that the Services will always be available, uninterrupted or error-free. We are not responsible for delays, outages, interruptions or technical issues beyond our reasonable control.

You must not post or submit sensitive personal, financial or confidential information in public areas of the Services. If you need to share confidential information with us, please do so through the contact details provided below.

25. Force majeure

We are not liable for any delay or failure in performance caused by events beyond our reasonable control, including natural disasters, epidemics, cyber incidents, war, civil unrest, government action, internet outages or telecommunications failures.

27. Governing law and jurisdiction

These Terms are governed by the laws of Sri Lanka. Subject to any mandatory legal requirements, the courts of Sri Lanka shall have exclusive jurisdiction over disputes arising from or in connection with these Terms.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, restructuring or sale of assets.

29. General provisions

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not constitute a waiver. These Terms do not create any partnership, agency or employment relationship.

30. Financial tools and partner services

If we provide market tools, credit-related features, partner offers or other third-party services, such features are provided for information only. We do not guarantee approval, performance, suitability or outcomes, and third-party providers remain responsible for their own products and services.

31. Dispute resolution

Any dispute arising out of or in connection with these Terms will be determined by the courts of Sri Lanka, unless a separate written arbitration agreement applies and is enforceable under applicable law.
